These Terms of Service ("Terms") govern your use of designagencyworks.com and the design services provided by designagencyworks ("we", "us", "our"). By placing an order or using our website, you agree to these Terms in full. If you do not agree, do not use our services.
1. About Us
designagencyworks is a design studio based in Denver, CO 80203, USA. We provide digital design services including brand experience design, UI/UX product design, motion design, design systems, environmental and print design, and design sprint facilitation. All services are delivered digitally.
2. Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use our services. By placing an order, you confirm that you meet these requirements.
3. Services and Scope
The scope of each service is described on our website and confirmed at time of purchase or project kick-off. Deliverables are defined prior to work commencing. We reserve the right to decline projects that fall outside our capability or that conflict with our professional standards.
All services are delivered digitally via email, shared Figma files, cloud storage links, or other agreed digital channels. No physical goods are shipped.
4. Ordering and Payment
Orders may be placed through our website package configurator or by contacting us directly. Full payment is required at time of order. Orders are processed via Stripe. Work commences within 2 business days of confirmed payment receipt.
Prices are displayed in USD and include all applicable fees. Prices do not include applicable state or local taxes where required by law.
5. Project Timelines
Delivery timelines are stated per package and are confirmed at the project kick-off call. Timelines assume prompt client feedback and provision of required assets. Delays caused by late client input are not subject to compensation or expedited delivery at no charge.
6. Client Responsibilities
To allow us to deliver as expected, you agree to:
- Provide accurate and complete project information at briefing
- Respond to communications and feedback requests within 5 business days
- Provide any required materials (logos, photography, copy, brand guidelines) within the agreed timeline
- Designate a single point of contact for the project
Failure to meet these responsibilities may result in project timeline extensions or additional fees.
7. Revisions
Each package includes a specified number of revision rounds. A revision round is defined as one consolidated set of feedback submitted at one time. Additional revisions beyond the included rounds are billed at our consulting hourly rate of $34.20/hr and require prior written agreement.
8. Intellectual Property
Upon receipt of full payment and project completion, all final design deliverables become your property. You receive full commercial rights to the completed work for use in your business.
We retain the right to display completed work in our portfolio, case studies, and marketing materials unless you request confidentiality in writing before the project closes. Source files and working documents remain our property unless specifically included in the project scope.
You confirm that all materials you provide to us (text, images, trademarks) are owned by you or that you have the necessary rights to use them.
9. Confidentiality
We treat all project information as confidential. We do not disclose client project details, business information, or materials to third parties without your written permission, except where required by law.
10. Limitation of Liability
To the maximum extent permitted by applicable law, our total liability for any claim arising from our services is limited to the amount you paid for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.
11. Warranty Disclaimer
Services are provided on an "as is" basis. We make no guarantees regarding specific business outcomes, sales results, or commercial success resulting from the design work we deliver.
12. Governing Law
These Terms are governed by the laws of the State of Colorado. Any disputes that cannot be resolved informally are subject to the jurisdiction of the courts of Denver County, Colorado.
13. Dispute Resolution
We ask that you contact us at hello@designagencyworks.com before initiating any legal proceedings. Most concerns are resolved quickly with direct communication.
14. Changes to These Terms
We may update these Terms at any time. The date at the top of this page reflects the most recent revision. Continued use of our services after a revision constitutes acceptance of the updated Terms.
